Agreement to Terms

By accessing and using agntfy ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these Terms of Service, you are not authorized to use or access the Service.

Description of Service

agntfy is an AI-powered platform that enables users to customize Shopify themes through natural language prompts. The Service integrates with Shopify stores through official APIs to provide theme editing capabilities while maintaining security and version control.

User Accounts and Responsibilities

Account Creation

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old or have parental consent to use the Service
• One account per person or business entity is permitted

Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to create harmful, offensive, or inappropriate content
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service in violation of Shopify's Terms of Service or Acceptable Use Policy

Theme Modifications and Responsibilities

Our Service modifies your Shopify store's theme files. By using our Service, you acknowledge and agree to the following:

• Live Store Impact: Changes made through agntfy directly modify your Shopify theme files. Depending on your configuration, these changes may be applied to your published (live) theme or an unpublished draft theme.
• Review Before Publishing: You are responsible for reviewing all AI-generated theme modifications before publishing them to your live store. We strongly recommend previewing changes on an unpublished theme first.
• Backup Responsibility: While agntfy maintains version history for rollback purposes, you are responsible for maintaining your own backups of critical theme files. We recommend downloading a copy of your theme before making significant modifications.
• Rollback Capability: We provide the ability to roll back changes made through our Service. However, rollback may not be possible if theme files are independently modified outside of agntfy after our changes are applied.
• No Guarantee of Compatibility: AI-generated theme modifications are created to be compatible with standard Shopify themes. However, we cannot guarantee compatibility with all third-party apps, custom code, or heavily modified themes.
• Theme Integrity: While our AI is designed to produce valid Liquid, HTML, CSS, and JavaScript code, you acknowledge that AI-generated code may occasionally require manual adjustment. We are not liable for any downtime, display issues, or revenue loss resulting from theme modifications.

Shopify Integration and API Usage

Our Service integrates with Shopify through official APIs. By using our Service:

• You authorize us to access your Shopify store data as necessary to provide the Service
• You remain responsible for your Shopify store and compliance with Shopify's Terms of Service
• You understand that changes made through our Service affect your Shopify theme files
• You acknowledge that Shopify may modify their APIs, which could temporarily affect our Service functionality
• You grant us the necessary Shopify API permissions (scopes) required to read and write theme files on your behalf
• You may revoke our access at any time through your Shopify admin panel, which will immediately suspend our Service for your store

Shopify Partner Agreement Compliance

agntfy operates as a Shopify Partner and complies with the Shopify API Terms of Service, Shopify Partner Program Agreement, and all applicable Shopify policies. This means:

Data Storage and Handling

• We only store Shopify store data that is strictly necessary to provide the Service
• All Shopify data is encrypted at rest and in transit
• We delete all stored Shopify data within 48 hours of app uninstallation or access token revocation
• We do not use Shopify merchant data for any purpose other than providing and improving the Service
• We do not sell, share, or transfer Shopify merchant data to third parties for their own purposes

Theme Modification Standards

• All theme modifications are made through official Shopify APIs (Asset API, Theme API)
• We do not inject unauthorized scripts, tracking code, or backdoors into your theme
• We do not modify themes in ways that violate Shopify's theme requirements or guidelines
• We maintain audit logs of all theme modifications made through our Service

API Usage

• We adhere to Shopify's API rate limits and best practices
• We request only the minimum API scopes necessary for theme editing functionality
• We do not use Shopify APIs for purposes outside the scope of our stated Service
• We promptly address any compliance concerns raised by Shopify

Subscription and Billing

Subscription Plans

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated in our refund policy
• We may change subscription fees with 30 days' prior notice
• Usage limits apply to each plan as specified on our pricing page

Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• We offer a 30-day money-back guarantee for new subscriptions
• Refunds are processed within 5-10 business days to your original payment method

Data Ownership and Privacy

• You retain full ownership of your Shopify store data and theme customizations
• We may use aggregated, anonymized data to improve our Service (never identifiable merchant data)
• Your data is protected according to our Privacy Policy
• Upon account termination, we will delete your data within 90 days unless required by law or Shopify's policies

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of agntfy and its licensors. The Service is protected by copyright, trademark, and other laws.

• You may not copy, modify, distribute, sell, or lease any part of our Service
• Theme customizations created through our Service belong to you
• You grant us a limited license to process your data solely to provide the Service

Service Availability and Support

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• We provide support through email, documentation, and community forums
• Support response times vary by subscription plan
• We may perform maintenance that temporarily affects service availability (with advance notice when possible)
• Service availability is also dependent on Shopify's API availability, which is outside our control

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED THEME MODIFICATIONS WILL BE ERROR-FREE, THAT THE SERVICE WILL BE UNINTERRUPTED, OR THAT MODIFICATIONS WILL BE COMPATIBLE WITH ALL SHOPIFY THEMES, APPS, OR CONFIGURATIONS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNTFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM: (A) YOUR USE OF THE SERVICE; (B) THEME MODIFICATIONS MADE THROUGH THE SERVICE; (C) ANY DOWNTIME OR DISPLAY ISSUES ON YOUR SHOPIFY STORE; OR (D) ANY UNAUTHORIZED ACCESS TO YOUR DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless agntfy and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) resulting from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of Shopify's Terms of Service; or (d) any content or modifications you publish to your Shopify store through the Service.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

• Breach of these Terms of Service
• Non-payment of fees
• Fraudulent or illegal activity
• Violation of Shopify's Terms of Service or API Terms
• Abuse of the Service or other users

Upon termination, your right to use the Service will immediately cease. We will delete your Shopify store data in accordance with our data retention policy and Shopify's requirements.

Governing Law

These Terms shall be interpreted and governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes through the Service or by email. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.
